PART ONE: TERMS AND CONDITIONS

1. INTRODUCTION AND ACCEPTANCE OF TERMS

Welcome to PS Hub, a proprietary mobile application developed and operated by ProService FM (hereinafter referred to as "Company," "we," "us," or "our"). PS Hub is designed exclusively for use by authorized employees of ProService FM to access and manage human resources functions, company information, and related services through integration with our Odoo HR management system. This mobile application is available for download on both Google Play Store (Android) and Apple App Store (iOS) platforms.

By downloading, installing, accessing, or using the PS Hub mobile application ("Application"), you expressly acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms in their entirety, you must not download, install, access, or use the Application. Your continued use of the Application following any modifications to these Terms constitutes your acceptance of such modifications.

These Terms constitute a legally binding agreement between you ("User," "you," or "Employee") and ProService FM regarding your use of the Application. This agreement is governed by and construed in accordance with the laws of the Arab Republic of Egypt, and both parties submit to the exclusive jurisdiction of the Egyptian courts. We strongly recommend that you print or save a copy of these Terms for your future reference, as they contain important information about your rights, obligations, and limitations when using the Application.

2. DEFINITIONS AND INTERPRETATION

For the purposes of these Terms and Conditions, the following terms shall have the meanings ascribed to them below. These definitions apply equally to both singular and plural forms of the defined terms. When interpreting these Terms, headings are for convenience only and shall not affect the interpretation of the provisions herein.

1.      "Application" means the PS Hub mobile application software developed by or on behalf of ProService FM, including all versions, updates, modifications, enhancements, and related documentation, made available for download through Google Play Store and Apple App Store.

2.      "Authorized User" means any current employee of ProService FM who has been granted valid credentials to access the Application and whose employment relationship with the Company remains active and in good standing.

3.      "Company Data" means all information, data, documents, and content stored, processed, or transmitted through the Application, including but not limited to employee records, HR information, company policies, and operational data.

4.      "Confidential Information" means any information disclosed to or accessed by the User through the Application that is proprietary to the Company or its affiliates, including trade secrets, business strategies, financial information, employee data, and any information marked as confidential.

5.      "Credentials" means the unique username, password, and any additional authentication factors provided to or created by the User for the purpose of accessing the Application.

6.      "Services" means all features, functions, and capabilities provided through the Application, including but not limited to HR management functions, leave requests, attendance tracking, payroll information, and company communications.

7.      "Third-Party Services" means any services, software, or platforms integrated with the Application, including the Odoo HR management system, Google Play Services, Firebase services, and cloud hosting providers.

3. ELIGIBILITY AND ACCESS RESTRICTIONS

3.1 Employee-Only Access

The PS Hub Application is exclusively available to current, authorized employees of ProService FM. Access to the Application is strictly limited to individuals who meet all of the following criteria and maintain their eligibility throughout their use of the Application. This restriction is fundamental to the nature of the Application and is non-negotiable under any circumstances.

•        Must be a current employee of ProService FM with an active employment contract.

•        Must have completed all required onboarding procedures and documentation.

•        Must have been granted access credentials by the Company's HR department or IT administrator.

•        Must not be under suspension, disciplinary action that includes access revocation, or notice period following resignation or termination.

•        Must comply with all Company policies regarding technology use and data security.

3.2 No Public Access

The Application is not available to the general public, former employees, contractors, consultants, or any third parties unless expressly authorized in writing by the Company's management. Any unauthorized attempt to access, download, or use the Application constitutes a violation of these Terms and may result in legal action under applicable Egyptian law, including but not limited to provisions of the Egyptian Penal Code regarding unauthorized access to computer systems and data.

3.3 Age Requirements

Given that the Application is designed for workplace use and contains access to sensitive employment and HR information, Users must be at least eighteen (18) years of age to access the Application. This age requirement aligns with Egyptian labor law provisions regarding employment eligibility and ensures compliance with both Google Play Store and Apple App Store guidelines regarding age-appropriate content and data handling. The Application does not address anyone under the age of 13, and we do not knowingly collect personally identifiable information from children under 13 years of age.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation and Activation

Access to the Application requires an authorized account. Accounts are created and activated through the Company's HR department as part of the employee onboarding process. The Company reserves the right to verify the identity of any User before granting access and may require additional authentication steps to ensure account security. Account credentials are typically synchronized with the Company's main HR system (Odoo) and may use the same login information as other company systems.

4.2 Credential Security Obligations

Users are responsible for maintaining the confidentiality and security of their account credentials. By accepting these Terms, you agree to the following security obligations, which are essential for protecting both your personal information and Company data:

•        Never share your username, password, or other authentication credentials with any other person, including family members, colleagues, or Company representatives.

•        Create strong passwords that meet the Company's security requirements, typically including a combination of uppercase and lowercase letters, numbers, and special characters.

•        Change your password immediately if you suspect any unauthorized access or if requested by the IT department.

•        Enable biometric authentication (fingerprint, face recognition) where available and ensure such features are properly configured on your device.

•        Log out of the Application when not in use and avoid using the "remember me" feature on shared or public devices.

4.3 Unauthorized Access Reporting

You must immediately notify the Company's IT department or HR department if you become aware of any unauthorized use of your account or any other breach of security. Failure to report such incidents promptly may result in your being held responsible for any activities that occur under your account. The Company will investigate all reported security incidents and may temporarily suspend account access during such investigations to protect Company data and other Users.

5. LICENSE GRANT AND RESTRICTIONS

5.1 Limited License Grant

Subject to your compliance with these Terms and your continued employment with ProService FM, the Company grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on your personal mobile device for the sole purpose of accessing Company HR services and information related to your employment. This license is personal to you and may not be assigned, sublicensed, or otherwise transferred to any third party under any circumstances. The Application is provided as a commercial application for business use.

5.2 License Restrictions

You may not, and you agree not to permit any third party to, engage in any of the following prohibited activities. Violation of these restrictions may result in immediate termination of your access rights, disciplinary action up to and including termination of employment, and potential legal action:

1.      Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Application or any part thereof.

2.      Rent, lease, loan, sell, resell, sublicense, distribute, publish, transfer, or otherwise make the Application available to any third party.

3.      Use the Application for any purpose other than accessing Company HR services as an authorized employee.

4.      Remove, alter, or obscure any proprietary notices, labels, or marks on the Application.

5.      Use the Application to develop a competing product or service, or to assist any third party in doing so.

6.      Circumvent or attempt to circumvent any security measures, access controls, or usage limits implemented in the Application.

7.      Use the Application in any manner that violates applicable laws, regulations, or these Terms.

6. USER CONDUCT AND PROHIBITED ACTIVITIES

Users must use the Application in accordance with all applicable laws, regulations, and Company policies. The following activities are strictly prohibited and may result in immediate termination of access, disciplinary action, and/or legal proceedings. The Company takes violations of these provisions seriously given the sensitive nature of HR data and the trust placed in employees as guardians of sensitive HR information:

1.      Accessing, viewing, downloading, or attempting to access any data or information that you are not authorized to access based on your role and permissions.

2.      Sharing, disclosing, or distributing any information obtained through the Application to unauthorized individuals, including other employees who do not have appropriate access rights.

3.      Using the Application to harass, intimidate, threaten, or discriminate against any employee or to create a hostile work environment.

4.      Submitting false, misleading, or fraudulent information through the Application, including falsifying attendance records, leave requests, or expense claims.

5.      Attempting to interfere with, disrupt, or impair the operation of the Application or any servers, networks, or systems connected to it.

6.      Introducing any viruses, Trojan horses, worms, logic bombs, or other malicious code into the Application or Company systems.

7.      Using automated systems, bots, scripts, or other means to access or interact with the Application without authorization.

8.      Engaging in any activity that could damage the reputation of the Company or violate the trust placed in employees as guardians of sensitive HR information.

7. DISCLAIMER OF WARRANTIES

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

The Company does not guarantee the accuracy, completeness, or timeliness of information available through the Application. While every effort is made to ensure data integrity, Users should verify critical information through appropriate HR channels. The Company reserves the right to modify, suspend, or discontinue the Application or any feature at any time without notice or liability.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APPLICATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.

In no event shall the Company's total liability to you for all claims exceed the amount of compensation you received from the Company during the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory under which damages are sought. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by law.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ProService FM and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Application; your violation of these Terms; your violation of any rights of another party, including privacy or intellectual property rights; your violation of applicable laws or regulations; or any claim that your use of the Application caused damage to a third party. This indemnification obligation will survive termination of these Terms and your use of the Application.

10. TERMINATION AND SUSPENSION

10.1 Automatic Termination

Your license to use the Application automatically terminates upon the end of your employment relationship with ProService FM, regardless of the reason for termination, including resignation, dismissal, retirement, or death. Upon termination, you must immediately cease all use of the Application and delete any copies installed on your devices. The Company may remotely deactivate your account and revoke access credentials upon or prior to termination of employment.

10.2 Termination by Company

The Company may terminate or suspend your access to the Application at any time, without notice or liability, for any reason, including but not limited to:

1.      Violation of these Terms or any Company policy.

2.      Conduct that the Company believes is harmful to other Users, the Company, or third parties.

3.      Extended periods of inactivity or leave of absence.

4.      Security concerns or suspected unauthorized access.

5.      Operational necessity or changes to the Application or Company systems.

10.3 Effect of Termination

Upon termination, all rights granted to you under these Terms will immediately cease. The following provisions shall survive termination: Sections 5.2 (License Restrictions), the entire Privacy Policy, Section 11 (Intellectual Property Rights), Section 7 (Disclaimer of Warranties), Section 8 (Limitation of Liability), Section 9 (Indemnification), and any other provisions that by their nature should survive. Termination does not affect any rights or remedies available to the Company under these Terms or applicable law.

11. INTELLECTUAL PROPERTY RIGHTS

The Application, including all software, content, features, functionality, design, graphics, user interface, and underlying technology, is owned by ProService FM or its licensors and is protected by intellectual property laws of the Arab Republic of Egypt and international treaties. All rights, title, and interest in and to the Application remain with the Company or its licensors. The Company reserves all rights not expressly granted to you in these Terms. The name "PS Hub" and associated logos are trademarks of ProService FM and may not be used without prior written consent.

Any feedback, suggestions, or ideas you provide regarding the Application may be used by the Company without any obligation to compensate you or maintain confidentiality. By submitting feedback, you grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Application or other Company products and services.

12. UPDATES AND MODIFICATIONS

The Company may release updates, patches, enhancements, and new versions of the Application from time to time through Google Play Store and Apple App Store. Updates may include security patches, bug fixes, new features, or other modifications. You agree to install available updates to maintain access to the Application and ensure optimal security and performance. The Company may discontinue support for older versions of the Application and may require Users to update to the current version to continue using the Services. The Company reserves the right to modify these Terms at any time. Material changes will be communicated through the Application, email, or other appropriate means.

13. GOVERNING LAW AND JURISDICTION

These Terms and any dispute arising out of or relating to them or the Application shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of laws principles. The Egyptian Civil Code, Egyptian Labor Law No. 12 of 2003, Egyptian Personal Data Protection Law No. 151 of 2020, and other applicable Egyptian regulations shall apply. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Cairo, Arab Republic of Egypt. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

14. GENERAL PROVISIONS

These Terms constitute the entire agreement between you and the Company regarding the Application and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

1.      No Waiver: The Company's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

2.      Assignment: You may not assign or transfer these Terms or your rights under them without the Company's prior written consent.

3.      Severability: If any provision is held invalid, such provision shall be modified or severed, and the remaining provisions shall continue in full force.

4.      Force Majeure: The Company shall not be liable for any failure due to circumstances beyond its reasonable control.


 

PART TWO: PRIVACY POLICY

1. INTRODUCTION AND SCOPE

ProService FM ("we," "us," or "our") operates the PS Hub mobile application ("Service" or "Application") as a commercial application for exclusive use by authorized company employees. This Privacy Policy informs you about our policies regarding the collection, use, and disclosure of personal information when you use our Service, as well as the choices you have associated with that data. This Privacy Policy applies to the PS Hub application available on both Google Play Store (Android) and Apple App Store (iOS).

If you choose to use our Service, then you agree to the collection and use of information in relation to this Privacy Policy. The Personal Information that we collect is used for providing and improving the Service. We will not use or share your information with anyone except as described in this Privacy Policy. The terms used in this Privacy Policy have the same meanings as in our Terms and Conditions unless otherwise defined herein.

This Privacy Policy has been developed in compliance with: Egyptian Personal Data Protection Law No. 151 of 2020; Google Play Store Developer Policy Centre requirements; Apple App Store App Privacy requirements; and international best practices for data protection and privacy.

2. INFORMATION COLLECTION AND USE

2.1 Personal Information We Collect

For a better experience while using our Service, we may require you to provide us with certain personally identifiable information. The information that we request will be retained by us and used as described in this Privacy Policy. The Application collects the following types of personal information, categorized according to Google Play and Apple App Store data type requirements:

2.2 Device Permissions

The Application requests the following device permissions to provide full functionality. Each permission is necessary for specific features and is used only for the purposes described below. You may choose to deny certain permissions, but this may limit the functionality available to you:

1.      Camera Permission: Required to capture images for profile pictures and document attachments. Images are stored securely and only used for their intended purpose within the HR system.

2.      Storage/Photos Permission: Required to read storage and select images from your device gallery to add as attachments. The app only accesses files that you explicitly select.

3.      Location Permission: May be required for attendance check-in features to verify your location when clocking in/out. Location data is used solely for attendance verification purposes.

4.      Notification Permission: Required to send push notifications about important HR updates, leave approvals, and company announcements.

5.      Biometric Permission: Optional, used for secure biometric authentication (fingerprint, face recognition) to access the Application. Biometric data never leaves your device.

2.3 Third-Party Data Collection

The Application does use third-party services that may collect information used to identify you. These third-party services have their own privacy policies and data handling practices. We have listed these services below with links to their privacy policies so you can understand how they handle your data:

•        Google Play Services: Used for push notifications, authentication, and app functionality. Privacy Policy: https://www.google.com/policies/privacy/

3. LOG DATA AND DIAGNOSTIC INFORMATION

We want to inform you that whenever you use our Service, in a case of an error in the app, we collect data and information (through third-party products) on your phone called Log Data. This Log Data may include information such as your device Internet Protocol ("IP") address, device name, operating system version, the configuration of the app when utilizing our Service, the time and date of your use of the Service, and other statistics. This diagnostic information is essential for identifying and fixing technical issues, improving app stability, and ensuring optimal performance across different devices.

Log data is collected automatically and is used solely for technical support and quality assurance purposes. This data is retained for a limited period and is automatically deleted according to our data retention schedule. Access to log data is restricted to authorized technical personnel who require such access to perform their job functions.

4. COOKIES AND TRACKING TECHNOLOGIES

Cookies are files with a small amount of data that are commonly used as anonymous unique identifiers. These are sent to your browser from the websites that you visit and are stored on your device's internal memory. This Service does not use these "cookies" explicitly. However, the app may use third-party code and libraries that use "cookies" to collect information and improve their services. You have the option to either accept or refuse these cookies and know when a cookie is being sent to your device. If you choose to refuse our cookies, you may not be able to use some portions of this Service.

The Application may also use local storage mechanisms similar to cookies (such as SharedPreferences on Android or UserDefaults on iOS) to store user preferences, session information, and other data necessary for app functionality. These local storage mechanisms are essential for providing a seamless user experience and are not used for tracking purposes across other apps or websites.

App Tracking Transparency (iOS): On iOS devices, the Application complies with Apple's App Tracking Transparency framework. If tracking is applicable, you will be presented with a prompt asking for your permission to track your activity across apps or websites owned by other companies. You can manage your tracking preferences in your device settings at any time.

5. SERVICE PROVIDERS AND DATA SHARING

We may employ third-party companies and individuals due to the following reasons:

•        To facilitate our Service and ensure its proper functioning.

•        To provide the Service on our behalf and maintain the application infrastructure.

•        To perform Service-related services such as analytics and crash reporting.

•        To assist us in analyzing how our Service is used and improving its features.

We want to inform users of this Service that these third parties have access to your Personal Information. The reason is to perform the tasks assigned to them on our behalf. However, they are obligated not to disclose or use the information for any other purpose. All service providers are carefully selected and are bound by contractual obligations to protect your personal information in accordance with applicable data protection laws.

6. DATA SECURITY

We value your trust in providing us your Personal Information, thus we are striving to use commercially acceptable means of protecting it. But remember that no method of transmission over the internet, or method of electronic storage is 100% secure and reliable, and we cannot guarantee its absolute security. We implement the following security measures to protect your personal information:

•        Encryption: All data transmitted between your device and our servers is encrypted using industry-standard encryption protocols (TLS/SSL). Data at rest is encrypted using secure encryption algorithms.

•        Access Controls: Access to personal information is restricted to authorized personnel who require such access for legitimate business purposes. All access is logged and monitored.

•        Secure Authentication: The Application uses secure authentication mechanisms, including support for biometric authentication on compatible devices.

•        Regular Security Audits: We conduct regular security assessments and vulnerability testing to identify and address potential security risks.

•        Employee Training: Personnel with access to personal data receive regular training on data protection best practices and security protocols.

7. LINKS TO OTHER SITES

This Service may contain links to other sites. If you click on a third-party link, you will be directed to that site. Note that these external sites are not operated by us. Therefore, we strongly advise you to review the Privacy Policy of these websites. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. Links to external sites may include company resources, HR documentation, or third-party services integrated with our HR system.

8. CHILDREN'S PRIVACY

These Services do not address anyone under the age of 13. We do not knowingly collect personally identifiable information from children under 13. In the case we discover that a child under 13 has provided us with personal information, we immediately delete this from our servers. If you are a parent or guardian and you are aware that your child has provided us with personal information, please contact us so that we will be able to take necessary actions. Given that this Application is designed for workplace use by adult employees, the likelihood of children using the Service is minimal. However, we maintain strict protocols to ensure compliance with children's privacy regulations, including COPPA (Children's Online Privacy Protection Act) and equivalent Egyptian regulations.

9. YOUR DATA PROTECTION RIGHTS

Under Egyptian Personal Data Protection Law No. 151 of 2020, and in accordance with Google Play and Apple App Store requirements, you have the following rights regarding your personal data. We are committed to facilitating the exercise of these rights:

1.      Right to Access: You have the right to request a copy of the personal data we hold about you. This request will be processed within 30 days.

2.      Right to Rectification: You have the right to request correction of inaccurate or incomplete personal data. This can be done directly through the Application's profile settings or by contacting HR.

3.      Right to Erasure: You have the right to request deletion of your personal data, subject to legal and regulatory retention requirements. Upon termination of employment, data will be handled according to our retention policy.

4.      Right to Data Portability: You have the right to request your personal data in a structured, commonly used, and machine-readable format.

5.      Right to Restrict Processing: You have the right to request restriction of processing your personal data under certain circumstances.

6.      Right to Withdraw Consent: Where processing is based on consent, you have the right to withdraw that consent at any time. Withdrawal of consent does not affect the lawfulness of processing based on consent before its withdrawal.

7.      Right to Object: You have the right to object to processing of your personal data for direct marketing purposes or based on legitimate interests.

To exercise any of these rights, please contact the HR department through internal channels or use the designated contact information provided in Section 12. We will respond to your request within 30 days and will verify your identity before processing any requests.

10. DATA RETENTION AND DELETION

We retain your personal information for as long as necessary to fulfill the purposes for which it was collected, including to satisfy legal, accounting, or reporting requirements. The retention period may vary depending on the type of data and the purpose for which it was collected, but generally follows these guidelines:

•        Employment Records: Retained for the duration of employment plus the period required by Egyptian Labor Law and company policy.

•        Attendance and Leave Data: Retained for a minimum of 3 years after the end of the relevant calendar year.

•        Usage and Log Data: Retained for up to 2 years for troubleshooting and security purposes.

•        Application Data: Deleted or anonymized within 30 days of account termination, unless longer retention is legally required.

When data is no longer needed, we will securely delete or anonymize it. You may also request deletion of your data by contacting the HR department, subject to legal retention requirements.

11. CHANGES TO THIS PRIVACY POLICY

We may update our Privacy Policy from time to time. Thus, you are advised to review this page periodically for any changes. We will notify you of any changes by posting the new Privacy Policy on this page and, where required by law, through in-app notifications or other appropriate means. Changes will be effective immediately upon posting unless otherwise stated. Your continued use of the Service after the posting of modified Privacy Policy terms constitutes your acceptance of those terms.

For significant changes to our data collection or use practices, we will provide additional notice through the Application or other communication channels. We encourage you to review this Privacy Policy frequently to stay informed about how we protect your information.
